1. Platform Overview & Binding Agreement

This website is operated by SEEDLOR Inc. Throughout the site, the terms “we”, “us” and “our” refer to SEEDLOR. By purchasing premium fruit trees, floral specimens, or botanical items from our store, you engage in our “Service” and agree to be bound by the following terms and conditions.

You must be at least 18 years old or the age of majority in your state of residence to complete purchases on this platform. We reserve the right to refuse service to anyone for any reason at any time.

⚠️ 2. Live Flora Warranties & Perishable Goods Disclaimer

Because our products consist of live, biological entities (plants, flowers, and trees), buyers explicitly acknowledge and consent to the following horticultural legal boundaries:

• Limited Liability Window: SEEDLOR guarantees that all flora arrives structurally healthy and viable. Our structural health liability terminates strictly 48 hours post-delivery.
• Exclusion of Growth Variables: Once a plant is unboxed, its survival depends entirely on variables beyond our control (including but not limited to local soil pH, over/under watering, frost exposure, improper drainage, and localized pest infestations). Consequently, SEEDLOR provides NO dynamic growth guarantees, crop yield warranties, or architectural performance representations for any specimen after the initial 48-hour delivery buffer.
• Aesthetic Variations: Living specimens naturally exhibit individual biological geometry. Original items may vary slightly in height, canopy density, and branching relative to promotional digital assets. Such normal biological variances do not constitute product defects.

3. Pricing, Accuracy, and Financial Clearing

Prices for our products are subject to change without notice. We reserve the right to modify or discontinue any botanical collection at any time.

Billing Integrity: You agree to provide current, complete, and accurate purchase and account information for all transactions. Financial processing operations may utilize external secure clearing institutions or gateway proxies. Charges may appear on your banking statements under authorized corporate clearing titles associated with SEEDLOR Inc.

4. Regulatory Cancellations & Order Truncation

In adherence to the United States Department of Agriculture (USDA) statutes, we maintain absolute authority to restrict, truncate, or flatly cancel orders targeting protected bio-security regional entities (such as citrus species heading to California, Florida, Texas, or Arizona). Any orders flagged by agricultural containment compliance filters will be systematically voided, and funds will be reverted in full to the original source account.

5. Limitation of Liability & Indemnification

In no event shall SEEDLOR Inc., our directors, officers, or fulfillment partners be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, or consequential damages of any kind, including, without limitation, lost profits, lost revenue, or crop failures, arising from your use of any of our products.

You agree to indemnify and hold harmless SEEDLOR from any third-party claims or demands due to or arising out of your breach of these Terms of Service or your violation of state agricultural laws.

6. Governing Law & Dispute Resolution

These Terms of Service and any purchase agreements shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any legal actions or formal disputes arising under these provisions must be resolved exclusively within state or federal courts located in Los Angeles County, California.
